This is the constitution for a company named 'THE UNIVERSITY FOUNDATION COMPANY LIMITED BY GUARANTEE.' This company is a limited by guarantee type, and it is registered as per Part 18 of the Companies Act 2014.

Its main objective is to raise funds to further education and research by Irish universities, as well as to carry out any other activities that enable them to meet the said objective. The liability of the company members is limited.

Every member is required to contribute to the company's assets if the company is wound up during their period of membership or within a year after they cease to be members. The contributions are intended for:

  • Paying off debts and liabilities incurred before the member ceased to be a member and covering the costs, charges, and expenses of winding up.
  • Adjusting the rights of contributories among themselves.

Each member's contribution should not exceed €1. The company proposes to register with four members.

The company adopts the provisions of the Companies Act 2014 (Please see section 1177(5)).

The constitution seeks to form a company with individuals including Francis McMaster, Colleen D. Cahill, Guy Taberie, and Akosa Martins. They have all subscribed willingly to be part of the company.

The company's constitution will be authenticated either by having the subscribers sign their names, witnessed as provided here, or in the manner mentioned in section 888. It will also bear the date and the signature of the witness to the signatures of the members.
