Duty of liquidator to call meeting at end of each year

Section 680 requires the liquidator to call an annual meeting and report on the progress of the winding up whenever the process continues for more than 12 months.

  • In a members' voluntary winding up lasting over 12 months, the liquidator must call a general meeting of the company within 28 days of each anniversary and present an account of the winding up during the preceding year
  • In a court-ordered or creditors' voluntary winding up lasting over 12 months, the liquidator must instead call a meeting of the committee of inspection (or, if none exists, a meeting of creditors) within 28 days of each anniversary and present the same account
  • Within 7 days after each such meeting, the liquidator must file a copy of the account with the Registrar of Companies in the prescribed form, and where a members' voluntary winding up converts to a creditors' voluntary winding up under section 584, the creditors' winding up reporting rules apply from that point on
  • Failure by the liquidator to comply with any requirement or direction under this section is a category 3 offence
