Companies Act 2014 section 1105

Requirements for participation and voting in general meeting

Section 1105 sets out the rules governing who may participate and vote at a general meeting of a traded PLC, including the record date mechanism, restrictions on share deposit requirements, and the limits on identity verification that a company may impose on members.

  • A person must be entered on the register of securities no later than 48 hours before the general meeting in order to participate and vote at that meeting
  • A member's right to participate and vote cannot be made conditional on depositing, transferring, or re-registering shares in another person's name before the meeting
  • Unless otherwise restricted, a member retains the right to sell or transfer shares at any time between the record date and the general meeting
  • A traded PLC may only require proof of membership where it is necessary to identify the person as a member, and any such requirement must be proportionate to that objective
