Companies Act 2014 section 281

Obligation to keep adequate accounting records

Section 281 requires every company to keep, or arrange to have kept, adequate accounting records.

  • Every company has a legal obligation to maintain adequate accounting records.
  • The company may either keep the records itself or cause them to be kept on its behalf.
  • This provision replaces the earlier requirement under section 202(1) of the Companies Act 1990.
  • The terminology has changed from "proper books of account" to "adequate accounting records".
