Companies Act 2014 section 1314

Definitions (Chapter 2)

Section 1314 provides definitions for two key terms used throughout Chapter 2, which deals with the registration of certain bodies (other than joint stock companies) as companies.

  • The "registration date" is the date on which the body becomes registered as a company, as set out in section 1323(2).
  • The "registration resolution" is the formal resolution passed by the body to register as a company, as described in section 1316(1).
  • These definitions apply specifically within Chapter 2 of Part 22 of the Companies Act 2014.
  • Understanding these terms is essential when dealing with the conversion of unregistered bodies into registered companies.
