Exemptions in respect of directors' report in the case of small and medium companies

Section 351 exempts small and medium-sized companies from the requirement to include certain detailed information in their directors' report.

  • Small and medium companies are relieved from including specific information in the directors' report
  • There is no requirement to disclose details regarding the use of financial instruments during the period
  • There is no requirement to provide an analysis of key performance indicators for the period
  • The exemption originated in section 13(2) of the Companies (Amendment) Act 1986 and was re-enacted in amended form in the Companies Act 2014
