Statement to be delivered with constitution

Section 22 sets out the detailed information that must be included in the statement delivered to the Registrar of Companies alongside the constitution when incorporating a company.

  • The statement must name all first directors, secretaries, and deputy secretaries, give the registered office address, and state where central administration will be carried on
  • Details of the company's principal business activity must be provided, classified under the EU NACE system where possible, together with the proposed location(s) in Ireland
  • If no director is resident in an EEA state, a bond must be delivered for registration alongside the statement
  • The statement must be signed by or on behalf of each subscriber, and accompanied by signed consents from each named director and secretary agreeing to act in that capacity
