Alteration of articles by special resolution

Section 977 deals with how a designated activity company (DAC) may alter or add to its articles of association by passing a special resolution.

  • A DAC may alter or add to its articles by special resolution, provided this is consistent with the Companies Act 2014 and the conditions in its memorandum.
  • Any alteration or addition must be approved by special resolution, which requires at least 75% of votes cast at a general meeting.
  • Once made, any change or addition to the articles is treated as though it had been part of the original articles from the outset.
  • Any such change or addition is itself subject to further alteration in the future, again by special resolution under the same rules.
