Section 1336 deals with the rights of companies registered under the Joint Stock Companies Acts regarding share transfers and the power of unlimited companies to alter their capital-related regulations.

  • Companies registered under the Joint Stock Companies Acts may transfer shares using their existing procedures or any other method the company chooses to adopt.
  • Unlimited companies formed and registered under the Joint Stock Companies Acts have an extended power to alter regulations about the amount of capital or its division into shares.
  • This extended power to alter capital-related regulations applies even where those regulations are contained in the company's memorandum rather than its articles.
  • The power to alter articles (and, by extension, capital regulations) does not apply to private companies limited by shares.
