Register of directors and secretaries

Section 149 requires every company to maintain a register containing prescribed particulars of its directors, secretaries, and any assistant or deputy secretaries, and to notify the Registrar of Companies of any changes within 14 days.

  • Every company must keep a register of its directors and secretaries (including assistant and deputy secretaries), recording specified personal and professional details such as name, date of birth, residential address, nationality, occupation, and other directorships held
  • The register must also record details of each secretary β€” for individuals, their name, date of birth, and residential address; for corporate secretaries, the corporate name, registered office, and registration number
  • The company must notify the Registrar within 14 days of any change in its directors or secretaries, or any change in the particulars recorded in the register, accompanied by the written consent of any newly appointed officer
  • A director who sits on the boards of multiple companies may notify the Registrar directly of a change of address or name, relieving each of the listed companies of the obligation to file separate notifications for that particular change
