Companies Act 2014 section 185

Representation of bodies corporate at meetings of companies

Section 185 deals with how a body corporate (such as another company) that is a member or creditor of a company can appoint a representative to attend and act on its behalf at company meetings.

  • A body corporate that is a member of a company may, by resolution of its directors or governing body, appoint an authorised person to represent it at any general meeting or class meeting of the company.
  • A body corporate that is a creditor (including a debenture holder) of a company may similarly appoint an authorised person to represent it at any creditors' meeting held under the Act or under the terms of any debenture or trust deed.
  • The authorised person may exercise the same powers on behalf of the body corporate as that body corporate could exercise if it were an individual member, creditor, or debenture holder of the company.
  • The chairperson of a meeting may require any person claiming to be an authorised representative to produce reasonable evidence of their authority, and may exclude that person from the meeting if such evidence is not provided.
