General meetings during interim period

Section 174A sets out the rules governing how companies may hold general meetings during an interim period, including the use of electronic communications technology, regardless of other provisions of the Act or the company's own constitution.

  • Companies may hold general meetings entirely or partially through electronic communications, provided all participants have a reasonable opportunity to take part, including voting electronically whether or not they are physically present.
  • The use of technology for meetings is subject to conditions ensuring proper identification and security of attendees, and the company must notify attendees of these conditions in advance.
  • Technological failures do not automatically invalidate a meeting or its proceedings, and the company is not liable for failures relating to an attendee's own equipment.
  • Directors may cancel, change the venue of, or convert a physical meeting to a virtual one where necessary, for example to comply with government public health guidance related to Covid-19.
