Companies Act 2014 section 190

Voting on a poll

Section 190 deals with the flexibility that members holding more than one vote have when a poll is taken at a company meeting or a meeting of any class of members.

  • When a poll is taken at a company meeting or class meeting, members with multiple votes are not obliged to use all of their votes
  • Members may split their votes, casting some in favour and some against a resolution
  • This flexibility applies equally whether the member is present in person or voting through a proxy
  • There is no requirement for a member to cast all the votes they choose to use in the same direction
