Companies Act 2014 section 314

Information on related undertakings

Section 314 requires companies to disclose detailed information in the notes to their statutory financial statements about subsidiary undertakings, undertakings in which the company holds a 20% or more equity interest, and undertakings in which the company has unlimited liability membership.

  • Companies must disclose the name, registered office (or principal place of business), nature of business, classes of shares held, net assets, and profit or loss for each subsidiary and each undertaking of substantial interest (20% or more equity holding)
  • Where a company is a member with unlimited liability in another undertaking, it must disclose that undertaking's name, registered office or principal place of business, and legal form, unless the information is immaterial
  • Companies qualifying for the small companies regime or the micro companies regime are fully exempt from these disclosure requirements
  • Interests held by nominees on behalf of the company are treated as held by the company, and equity interests include convertible instruments and options to acquire equity shares
