Companies Act 2014 section 1230

Application of Parts 1 to 14 to unlimited companies

Section 1230 sets out how the general company law rules in Parts 1 to 14 of the Companies Act 2014 apply to unlimited companies, and identifies which provisions are switched off for each type of unlimited company.

  • Parts 1 to 14 of the Act generally apply to unlimited companies, but with specific provisions disapplied or modified depending on the type of unlimited company (ULC, PUC or PULC)
  • Three separate tables list the provisions that do not apply to each type: ULCs, PUCs and PULCs respectively, covering areas such as formation, constitution, share capital, financial reporting and audit
  • Where a provision in the tables refers to membership arising from shareholding, it must be read in the analogous context appropriate to the type of unlimited company concerned, particularly for PULCs which may not have a share capital
  • If a provision is disapplied by the tables, any other consequential or supplemental provision that depends on it is also automatically disapplied, even if not separately listed
