Regulations for special cases

Section 1321 gives the Minister power to make regulations imposing additional requirements for certain special registration applications by corporate bodies.

  • The Minister may impose extra requirements when a body corporate without share capital applies to register as a company with share capital, or when a body corporate applies to register as a company other than a PLC.
  • These additional requirements are over and above those already set out elsewhere in the chapter and must be met before the Registrar can approve the application.
  • Where a body without share capital seeks to register as a company with share capital, the extra requirements may mirror those in section 1286, which deals with additional statements needed when a company is to have share capital on re-registration.
  • Any regulation proposed under this section must be laid in draft before both Houses of the Oireachtas and cannot take effect until each House has passed a resolution approving the draft.
