Supplemental provisions in relation to section 1413

Section 1414 sets out the supplemental rules governing the timing, notification and legal effects of an investment company's de-registration from Ireland when it migrates to another jurisdiction under section 1413.

  • A special resolution to migrate does not take effect until the latest of several specified dates, depending on whether court applications are withdrawn or determined
  • Once registered in the new jurisdiction, the company must notify the Registrar within 3 days, after which a certificate of de-registration is issued
  • The Registrar records the de-registration and publishes key details in the CRO Gazette within 7 days
  • De-registration does not create a new legal entity and does not affect existing contracts, rights, liabilities or legal proceedings
