Transitional provision β€” use of "limited" or "teoranta" by existing guarantee company

Section 1190 sets out the transitional arrangements for existing guarantee companies to change their names from ending in "limited" or "teoranta" to ending in "company limited by guarantee" or "cuideachta faoi theorainn rΓ‘thaΓ­ochta".

  • Existing guarantee companies were given an 18-month transition period from commencement of the section to update their names to include the full required wording
  • During the transition period, the old rules under the prior Companies Acts regarding the use of "limited" or "teoranta" continued to apply to existing guarantee companies
  • Once the transition period expired, or the company changed its name earlier, the new naming rules took effect and "limited" or "teoranta" was automatically replaced with "company limited by guarantee" or "cuideachta faoi theorainn rΓ‘thaΓ­ochta"
  • Where a company's name was automatically altered at the end of the transition period, the Registrar was required to issue a fresh certificate of incorporation reflecting the new name
