Powers of attorney

Section 41 deals with a company's ability to appoint an attorney to execute deeds and carry out other actions on its behalf, regardless of any restrictions in the company's constitution.

• A company may appoint any person as its attorney to act on its behalf, either generally or for specific matters
• This power applies regardless of anything contained in the company's constitution
• The attorney may execute deeds or perform any other activity on the company's behalf, whether inside or outside the State
• Any deed signed by the appointed attorney binds the company and has the same effect as if it were executed under the company's common seal
