Companies Act 2014 section 1202

CLG, with 2 or more members, may not dispense with holding of a.g.m.

Section 1202 prevents a company limited by guarantee (CLG) with more than one member from opting out of holding an annual general meeting.

  • A CLG with two or more members must hold an annual general meeting each year
  • The option available to other company types to dispense with holding an AGM does not apply to multi-member CLGs
  • This restriction disapplies section 175(3) and (4) of the Act, which otherwise allow companies to waive the AGM requirement
  • A single-member CLG may still avail of the option to dispense with holding an AGM
