Functions of the Authority

Section 944D sets out the functions, powers and independence of the Corporate Enforcement Authority, which is the body responsible for encouraging, investigating and enforcing compliance with company law.

• The Authority's core role is to encourage compliance with the Companies Act, investigate suspected offences and non-compliance by companies and their officers, and enforce the law — including by prosecuting summary offences directly and referring indictable offences to the Director of Public Prosecutions
• The Authority has a supervisory role over liquidators and receivers, and may take on additional functions assigned by the Minister or under other legislation to ensure companies and their officers meet their legal obligations
• The Authority operates independently, has the power to do whatever is necessary or expedient to perform its functions, and may regulate its own procedures subject to the relevant Chapter and Schedule 22
• The Authority's functions extend to enforcing the European Union (Disclosure of Income Tax Information by Certain Undertakings and Branches) Regulations 2023, and it also acts as a member of the Irish Auditing and Accounting Supervisory Authority
