Removal of directors

Section 1198 applies the general rules on removal of directors to companies limited by guarantee (CLGs), but removes the protection that would otherwise apply to directors holding office for life.

  • The standard rules for removing directors (set out in Section 146) apply to companies limited by guarantee.
  • Section 146 subsection (2), which excludes directors holding office for life from being removed, does not apply to CLGs.
  • This means that in a CLG, even a director appointed for life can be removed by the members.
  • In all other respects, the removal process for CLG directors follows the same procedures as for private limited companies.
