Companies Act 2014 section 1353

Expert's consent to issue of prospectus containing statement by him or her

Section 1353 sets out the requirements for obtaining and disclosing an expert's written consent before a prospectus containing a statement attributed to that expert may be issued.

  • Where EU prospectus law requires an expert's statement to be included in a prospectus, the expert must first provide written consent to the inclusion of that statement in the specific form and context in which it appears.
  • The expert's written consent must remain in place and must not be withdrawn before the prospectus is published.
  • The prospectus itself must contain a statement confirming that the expert has given, and has not withdrawn, written consent to the inclusion of their statement.
  • Issuing a prospectus in breach of these requirements is a category 3 offence, applying to both the issuer and any person knowingly involved in the issue.
