Transmission of information

Section 1110C sets out the rules for how information needed by shareholders to exercise their rights in a traded PLC must be transmitted between the company, intermediaries, and shareholders.

  • A traded PLC must promptly provide relevant information (or a website link to it) to any intermediary servicing a shareholder's shares, where that shareholder needs the information to exercise their rights.
  • Intermediaries must pass this information along the chain as quickly as practicable until it reaches the shareholder, and must similarly transmit shareholder instructions back up the chain to the traded PLC.
  • Where the traded PLC transmits the relevant information directly to the shareholder, the intermediary transmission obligations do not apply to that information.
  • A shareholder may nominate a third party to receive information or notifications on their behalf under this section.
