Court order for restoration on application of Registrar

Section 741 deals with the procedure by which the Registrar of Companies can apply to the court to have a struck-off company restored to the register, including the conditions that must be met and the consequences of restoration.

• The Registrar may apply to the court to restore a struck-off company, provided the application is made within 20 years of the date of dissolution and the court considers it just and equitable to do so.
• The application must be made on notice to each person who, to the Registrar's knowledge, was an officer of the company at the date of its dissolution.
• Once the court grants the restoration order, the company is treated as if it had never been struck off and had continued in existence throughout.
• The court may award the Registrar the costs of the application against the restored company.
