Application of section 193 in relation to an unlimited company

Section 1263 deals with how the rules on unanimous written resolutions (set out in section 193) apply to unlimited companies, and the ability of such companies to override those rules through their constitution.

  • Section 193, which governs unanimous written resolutions, applies to unlimited companies.
  • However, an unlimited company's constitution may override the written resolution rules if it provides otherwise.
