Application for confirmation of merger by court

Section 477 requires all companies involved in a merger to jointly apply to the court for confirmation of the merger, and sets out what must accompany that application.

  • All merging companies must make a joint application to the court for an order confirming the merger.
  • The application must include a statement showing the size of the shareholding of any shareholder who has requested that their shares be purchased under the minority share purchase provisions in section 476.
  • The application must also set out the measures the successor company proposes to take to satisfy any such shareholder's purchase request.
  • This court application requirement does not apply where the merging companies are using the Summary Approval Procedure to carry out the merger.
