Alteration of articles by special resolution

Section 1187 deals with the power of a company limited by guarantee (CLG) to alter or add to its articles of association by special resolution.

  • A CLG may alter or add to its articles by passing a special resolution
  • Any changes must comply with the Companies Act 2014 and the conditions in the company's memorandum
  • Amendments made in this way are treated as if they were part of the original articles
  • Any such amendments can themselves be further altered by a subsequent special resolution
