Effect of removal and dissolution

Section 734 deals with the legal consequences that follow when a company is struck off the register and dissolved, including the continuation of personal liabilities, the court's winding-up powers, and the company's limited deemed existence for restoration purposes.

  • Directors, officers, and members remain personally liable even after the company is dissolved β€” their obligations can be enforced as if the company still existed
  • The court retains full power to wind up a company that has been struck off or dissolved
  • A dissolved company is treated as still existing, but only for the narrow purpose of applying for restoration to the register or doing what is needed to support that application
  • This deemed existence does not permit anyone to deal with or take control of property that has already passed to the State under the State Property Act 1954
