Declaration to be made to Registrar

Section 24 sets out the requirements for the declaration that must be delivered to the Registrar as part of the company incorporation process, including what it must contain, who may make it, and the evidential weight the Registrar may give it.

  • The declaration must confirm that all registration requirements have been met, that the company will carry on an activity in the State, and that the particulars in the incorporation statement are correct.
  • The declaration may be made by a named director, the secretary (or a joint secretary), or the solicitor engaged in forming the company.
  • The Registrar may accept the declaration as sufficient evidence that all registration requirements and the requirement to carry on an activity in the State have been complied with.
  • Unlike the previous law under the Companies (Amendment) Act 1983, this declaration does not need to be sworn as a statutory declaration.
