Companies Act 2014 section 1244

Alteration of articles by special resolution

Section 1244 deals with the ability of an unlimited company to alter or add to its articles of association by means of a special resolution.

• An unlimited company may alter or add to its articles by passing a special resolution.
• Any such alteration or addition is subject to the provisions of the Companies Act 2014 and the conditions set out in the company's memorandum.
• Once made, any alteration or addition is treated as though it had been part of the original articles from the outset.
• Any alteration or addition made in this way can itself be further altered by a subsequent special resolution.
