Companies Act 2014 section 427

Registration against company of certain matters prohibited

Section 427 prohibits the Registrar of Companies from accepting or registering certain orders and notices that affect a company's shareholders or debentureholders.

• The Registrar has no jurisdiction to accept or register orders from any authority (judicial or otherwise) that affect a shareholder or debentureholder of a company, nor any notice of such orders.
• Any pre-existing power of any authority to require the Registrar to register or receive such orders or notices ceased to be exercisable once this section came into force.
• The prohibition applies broadly to all authorities, whether they are courts or other bodies.
• The restriction does not affect the jurisdiction of any authority under Chapter 3 of Part 13 or Chapter 2 of Part 14 of the Companies Act 2014, which deal with specific company law matters that remain registrable.
