Application of section 193 in relation to a CLG

Section 1208 deals with how the rules on unanimous written resolutions (set out in section 193) apply to a company limited by guarantee (CLG), with the important addition that a CLG's constitution may override those rules.

  • Section 193, which governs unanimous written resolutions, applies to CLGs
  • A CLG's constitution may restrict or exclude the use of unanimous written resolutions
  • Where the constitution provides otherwise, its provisions take precedence over section 193
  • This gives CLGs greater flexibility than private companies limited by shares in tailoring their decision-making procedures
