Supplemental provisions in relation to section 1013

Section 1014 sets out the supplementary procedural requirements that apply when a PLC alters its objects clause by special resolution under section 1013, including notice obligations to debenture holders and filing requirements with the Registrar.

  • Where a court order under section 1013 restricts changes to a PLC's constitution, the PLC cannot make any alterations in breach of those restrictions without the court's permission
  • Debenture holders who are entitled to object to changes in the PLC's objects must receive at least 10 days' notice of the meeting (or written resolution) at which the alteration is proposed
  • After passing a resolution to alter its objects, the PLC must deliver a copy of its altered memorandum of association to the Registrar within 15 days, or if a court application is made, must notify the Registrar immediately and file the court order and amended memorandum within 15 days of that order
  • Failure by the PLC or any of its officers to notify the Registrar or deliver required documents is a category 4 offence
