Power for company to have official seal for use abroad

Section 44 allows a company, where authorised by its constitution, to have an official seal for use outside Ireland, and sets out the rules governing how that seal may be used and by whom.

  • A company may have an official seal for use abroad, provided its constitution permits it, and the seal must resemble the common seal with the addition of the name of each foreign location where it will be used.
  • A document sealed with the official seal binds the company in the same way as if it had been sealed with the company's common seal.
  • The company may appoint an agent in writing under its common seal to affix the official seal to documents abroad, with the agent's authority lasting for any period specified or until revocation notice is given to the person dealing with the agent.
  • The person affixing the official seal must certify in writing on the document the date and place where the seal was affixed.
