Register of members

Section 169 sets out the requirements for a company to maintain a register of its members, including what information must be recorded and the deadlines for making entries.

  • Every company must keep a register of members recording each member's name, address, shares held (identified by number where applicable), and amounts paid or agreed to be considered as paid on those shares
  • The register must record the date each person became a member and the date any person ceased to be a member, with entries to be made within 28 days of the relevant event
  • Where shares have been converted into stock and the Registrar has been notified, the register must show the amount of stock held rather than share details
  • Failure to comply with any of these requirements is a category 3 offence for both the company and any officer in default
