Supplemental provisions in relation to section 453

Section 454 sets out the procedural requirements that a company must follow once a scheme order has been made under section 453, including filing obligations and the consequences of non-compliance.

  • A copy of the scheme order must be delivered to the Registrar within 21 days of the date it was made, and the order only takes effect upon that delivery.
  • After the scheme order has been made, the company must attach a copy of it to every copy of its constitution that it issues.
  • Failure to comply with either the filing deadline or the requirement to attach the order to the constitution is a category 3 offence.
  • Both the company itself and any officer in default may be found guilty of the offence.
