Companies Act 2014 section 591

Copy of order for winding up or appointment to be forwarded to Registrar

Section 591 requires that copies and particulars of winding-up orders and orders appointing liquidators are promptly sent to the Registrar and served on the company.

  • When a winding-up order is made, a designated court officer must immediately furnish the Registrar with the prescribed particulars of the order.
  • Unless the company itself brought the petition, a copy of the order must be served on the company at its registered office, or failing that, at its principal or last known principal place of business.
  • The court may direct alternative persons or methods for serving the order if the usual routes are not available.
  • When a court appoints a liquidator (other than a provisional liquidator), the designated court officer must also immediately notify the Registrar with the prescribed particulars of that appointment order.
