Appointment and removal in a members' voluntary winding up

Section 636 sets out the rules for appointing and removing a liquidator during a members' voluntary winding up, including who may call the necessary meetings and the notice requirements that apply.

  • Members in general meeting may remove the liquidator, appoint a replacement or additional liquidator, or fill a vacancy in the office of liquidator
  • Such a meeting requires at least 10 days' notice and may be called by a member with the written backing of at least one-tenth of the members, by an existing liquidator, or (where filling a vacancy) by any contributory
  • The court may override the members' powers on application by any contributory or an existing liquidator
  • The meeting must be conducted in accordance with the Act, the company's constitution, or as the court directs
