Resolutions passed at adjourned meetings

  • A resolution passed at an adjourned general meeting is treated as passed on the actual date it was passed
  • The resolution is not deemed to have been passed on any earlier date, such as the date of the original meeting
  • This rule applies for all purposes, ensuring clarity about the effective date of any decision
  • This provision is derived from section 144 of the Companies Act 1963
