Companies Act 2014 section 1339

Requirements for registration of joint stock companies

Section 1339 sets out the documents that must be delivered to the Registrar before a joint stock company can be registered as a company under the Companies Act 2014.

  • A current membership list showing names, addresses, occupations and shareholdings of all members (dated no more than 6 days before registration) must be delivered to the Registrar.
  • Copies of all constituting or governing documents β€” such as statutes, charters, letters patent, deeds of settlement or contracts of co-partnery β€” must be provided.
  • If the company is to be registered as a limited company, a statement must be supplied covering the nominal share capital, shares taken and amounts paid, and the company name with the appropriate legal designation (e.g. "limited", "designated activity company", "company limited by guarantee" or "unlimited company").
  • Where the company is to be registered as a company limited by guarantee, a resolution declaring the amount of the guarantee must also be included.
