Notice of rescheduled general meeting during interim period

Section 181A provides alternative methods for notifying members when a general meeting needs to be rescheduled during an interim period, where the normal notice procedures may not be practicable.

  • When a general meeting is rescheduled under section 174A(12), notice should normally be given in the same manner as for any general meeting under section 181, but alternative methods are permitted where directors consider the standard approach impracticable.
  • Alternative notification methods include publishing the notice on the company's website, sending it by email to members who have provided email addresses, or placing an announcement in a national newspaper.
  • Directors have discretion to determine whether traditional notice methods are impracticable in the circumstances and to select whichever alternative method or combination of methods they consider appropriate.
  • These alternative notice requirements do not apply where all members agree in writing to the relevant changes β€” such as cancelling the meeting, changing the venue or format, or waiving the need for formal notice altogether.
