Particulars to be contained in notification

Section 1053 sets out the information that must be included in a notification to a public limited company (PLC) when a person's interest in the company's shares reaches or crosses a notifiable threshold.

  • Notifications must be made in writing to the PLC within five days of the duty arising
  • The notification must specify the relevant share capital and state the number of shares in which the person holds an interest, or confirm that a notifiable interest no longer exists
  • Where a notifiable interest exists, the notification must identify each registered holder of the relevant shares and the number held by each, so far as known to the person notifying
  • Even after the initial notification has been made, there is a continuing duty to notify the PLC of registered holder details or changes to those details whenever the person becomes aware of them
