Company investigations on requisition by members

Section 1064 enables shareholders of a public limited company (PLC) who hold at least 10 per cent of the company's paid-up voting share capital to require the company to investigate interests in its shares under its investigation powers.

  • Members holding at least one-tenth of a PLC's paid-up voting share capital can require the company to investigate interests in its shares
  • The requisition must state what is being requested, specify how the investigation powers should be exercised, and give reasonable grounds for the request
  • The requisition must be signed by the requesting members and deposited at the PLC's registered office, and may consist of several documents in similar form
  • If the PLC fails to comply with a valid requisition, the requesting members may apply to the court for an order compelling the company to act
