Registration and publication of confirmation of merger

Section 482 sets out the requirements for registering and publishing a court order that confirms a merger, including the obligations placed on both the court and the Registrar.

  • When a court confirms a merger, a certified copy of the order must be sent promptly to the Registrar by a court officer designated by the court.
  • On or as soon as practicable after the effective date of the merger, the Registrar must register the certified copy of the order and the dissolution of the transferor company or companies.
  • Within 14 days of receiving the certified copy, the Registrar must arrange for a notice to be published in the CRO Gazette confirming receipt of the court order.
  • The section derives from Regulation 17 of the EC (Cross-Border Mergers) Regulations 2008 (S.I. No. 157 of 2008).
