Companies Act 2014 section 1087I

Interpretation

Section 1087I defines the key terms used throughout this Chapter, which deals with dematerialised securities held by public limited companies through central securities depositories.

  • "Applicable securities" are transferable securities issued by a PLC, traded on a trading venue, and not already classified as "relevant securities" under Chapter 7A of Part 17 of the Act.
  • A "relevant issuer" is specifically a public limited company (PLC) that has issued applicable securities, and a "nominee" is any body appointed by a central securities depository to hold such securities within its settlement system.
  • A "certificate" means any document evidencing title to applicable securities, but expressly excludes the register of securities itself.
  • Several terms β€” including "central securities depository", "CSD Regulation", and "securities settlement system" β€” carry the same meanings already established in section 1087A, and any other term used in this Chapter that also appears in the CSD Regulation takes its meaning from that regulation unless a contrary intention is shown.
