Person acting under directions of disqualified person liable for debts of company

Section 860 deals with the personal liability for company debts that can be imposed on a person convicted of acting under the directions of a disqualified person.

  • A person convicted on indictment of acting under the directions of a disqualified person may be held personally liable for company debts
  • The court must determine that it is just to make such an order before imposing liability
  • There is no cap on the amount of personal liability that may be imposed
  • Liability is limited to debts and liabilities incurred during the period the person was illegally acting under the disqualified person's directions
