Indemnification of certain persons

Section 1352 deals with the right of directors and experts to be indemnified when their name or statement appears in a prospectus without their consent or after they have withdrawn consent.

  • A person named as a director in a prospectus without consent, or after withdrawing written consent, is entitled to be indemnified by those responsible for issuing the prospectus
  • An expert whose statement appears in a prospectus without consent, or after withdrawing written consent, is similarly entitled to indemnification
  • The indemnity covers all damages, costs and expenses arising from the unauthorised inclusion, as well as the costs of defending any resulting legal proceedings
  • Directors who had no knowledge of, or did not consent to, the issuing of the prospectus are excluded from the obligation to indemnify
