Requirements for Chapter to apply

Section 462 sets out the conditions that must be satisfied before the merger procedures described in this Chapter of the Act can be used.

  • This Chapter provides a specific merger procedure available only to certain types of private companies.
  • None of the companies involved in the merger may be a public limited company (PLC).
  • At least one of the merging companies must be either a private company limited by shares or a designated activity company limited by shares.
  • If either condition is not met, the companies cannot rely on this Chapter and must use alternative merger procedures elsewhere in the Act.
