Supplemental provisions in relation to constitution

Section 968 deals with the rules governing a DAC's articles of association, including how optional and mandatory provisions of the Companies Act 2014 interact with those articles.

  • A DAC's articles may contain its own internal regulations, or may simply adopt the provisions of the Companies Act 2014 in their entirety
  • Provisions of the Act are classified as either "mandatory" (which always apply) or "optional" (which apply unless the DAC's constitution says otherwise)
  • Where a DAC's articles do not specifically exclude or modify an optional provision, that optional provision automatically applies to the DAC
  • If the articles consist solely of a statement adopting the Companies Act 2014, all optional provisions apply by default
